What Is a Non-Profit?

A non-profit is similar to a charity, in that they exist to benefit society, but they are not limited to the very narrow scope that applies to charities.

A Not-for-Profit Corporation is a legal entity that has an independent existence, separate and distinct from its members, directors and officers. The corporation owns property in its own name, acquires rights, obligations and liabilities, enters into contracts and agreements and has the capacity to sue and be sued as would a natural person.

These may be community organizations, amateur sports or hobby clubs and some festivals or community events. They may charge fees for their services and raise money, but their primary goal is not to earn a profit.

Top 3 Reasons to Incorporate Your Not-for-Profit:

1. Limited Liability for Board of Directors and Officers: The not-for-profit is a separate legal entity from the members of the not-for-profit. This means that in the event of a lawsuit or bankruptcy, the Directors’ and Officers’ personal assets will be protected.

2. Tax Benefits: Not-for-Profits are generally exempt from paying income tax, with some exceptions.

3. Permanence: The lifespan of the not-for-profit is not limited to your existence. Your not-for-profit can exist perpetually and be passed on from generation to generation.

Should You Register a Not-for-Profit or a Charity?

The tricky part for many people who want to register a charity or non-profit is to figure out which one they should register.

Often, there are elements of the organization and it’s goals that could define them as either one. If this is the case, it’s a good idea to speak to a professional, who can help you to weigh the pros and cons of each.

It can be a little harder to register a charity because it involves applying to the CRA for charitable organization status.

This is not required for non-profits. But, although both are usually exempt of the requirement to pay income tax, non-profits cannot issue tax receipts when they collect funds. Which can make it trickier to raise funds.

On the other hand, charities have spending requirements. This means that they are legally required to donate a predefined portion of the money they collect to qualifying organizations.

Meet Dov Goldberg, J.D.

Hi, I’m Dov Goldberg. As a Lawyer working exclusively with Charities and Not-for-Profits, I help founders and directors register their charity and/or not-for-profit without dealing with complicated legal forms, by taking care of all the paperwork so that you can successfully register your charity/NPO, have more freedom, peace of mind, and spend more time doing what you love.

In 2015, after working for several years in a boutique firm focused on corporate, business, and charity law, I took the leap to start a Law Firm dedicated exclusively to Charities and Not-for-Profit Corporations, so that I could help Charity Founders, Directors and Not-for-Profit Entrepreneurs register and operate their organizations on a solid and stable legal footing and so that I could work in a legal field where I am inspired daily by our amazing clients (…one of the best decisions I’ve ever made).
